Please read these Terms & Conditions carefully. By accessing or using Tirzok DMS, you agree to be bound by these terms. If you do not agree, please do not use our services.

Acceptance of Terms

These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("User", "Customer", or "Organization") and Tirzok Private Limited ("Tirzok", "we", "us", or "our"), a company registered in Bangladesh.

By registering for, accessing, or using Tirzok DMS — our cloud-based Distribution Management System — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you are using Tirzok DMS on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Description of Service

Tirzok DMS is a cloud-based Distribution Management System built natively on Tirzok ERP. The platform includes the following components:

  • Web-based administration and management dashboard
  • SR (Sales Representative) mobile application for Android
  • Dealer mobile application for Android
  • Retailer mobile application for Android
  • Real-time GPS tracking and attendance verification
  • Sales order management (primary and secondary)
  • Inventory management and synchronization
  • Commission, KPI, and rewards management
  • Dynamic reporting and analytics
  • Integration with Tirzok ERP platform

We reserve the right to modify, suspend, or discontinue any feature of the service at any time with reasonable prior notice to registered users.

Account Registration

To use Tirzok DMS, you must create an account by providing accurate, complete, and current information. You agree to:

  • Provide truthful and accurate information during registration
  • Maintain the security and confidentiality of your account credentials
  • Immediately notify us of any unauthorized use of your account
  • Be responsible for all activities that occur under your account
  • Not share your credentials with unauthorized individuals

Important: You are responsible for all actions taken under your account. Tirzok Private Limited will not be liable for any loss resulting from unauthorized use of your account due to your failure to maintain credential security.

Tirzok reserves the right to refuse registration, suspend, or terminate accounts at its sole discretion, particularly in cases of violation of these Terms.

Subscription & Payment

Tirzok DMS is offered on a subscription basis. The following terms apply to all payment and billing activities:

  1. Billing unit: Subscriptions are billed per Sales Representative (SR) per month. Admin, Manager, Dealer app, and Retailer app accounts are included in all plans without additional per-user charges.
  2. Billing cycles: Monthly and yearly billing options are available. Yearly subscriptions are billed upfront and offer a 15% discount.
  3. Payment gateway: All payments are processed securely through SSLCommerz, Bangladesh's leading payment gateway. Accepted methods include bank cards, mobile banking (bKash, Nagad, Rocket), and net banking.
  4. Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled prior to the renewal date.
  5. Price changes: We reserve the right to modify pricing with 30 days' advance notice. Continued use after a price change constitutes acceptance.
  6. Refund policy: Monthly subscriptions are non-refundable after the billing period begins. Yearly subscriptions are non-refundable but access continues until the subscription year ends.
  7. Taxes: Applicable taxes (VAT/taxes as per Bangladesh law) will be added to subscription fees where required.

A 14-day free trial is available for new accounts with full access to all features. No payment information is required to start a trial. After the trial period, a subscription must be activated to continue using the service.

Acceptable Use

You agree to use Tirzok DMS only for lawful business purposes consistent with all applicable laws and regulations in Bangladesh. You must not:

  • Use the service for any illegal, fraudulent, or unauthorized purpose
  • Upload, transmit, or store data that violates any law or third-party rights
  • Attempt to gain unauthorized access to any part of the system or other users' accounts
  • Interfere with or disrupt the integrity or performance of the service
  • Reverse engineer, decompile, or attempt to extract source code from the platform
  • Resell, sublicense, or otherwise commercialize access to the platform without written consent
  • Use the platform to send unsolicited messages or engage in spam activities
  • Input false GPS data, falsify attendance records, or manipulate platform data
  • Use automated bots or scrapers to access or extract data from the platform

Violation of acceptable use policies may result in immediate account suspension or termination without refund.

Data & Privacy

Your use of Tirzok DMS involves the collection and processing of various types of data. By using our service, you agree to our data practices as outlined below:

  • Business data: All sales orders, inventory, financial, and operational data you input remains your property. We do not claim ownership of your business data.
  • GPS and location data: The platform collects real-time GPS coordinates of Sales Representatives during active sessions for attendance verification and route tracking. Users are informed of this collection within the application.
  • Data security: We employ industry-standard encryption and security measures to protect your data. All data is hosted on secure cloud infrastructure.
  • Data portability: Upon request, we will provide your business data in a standard exportable format within 30 days.
  • Data retention: We retain your data for the duration of your subscription plus 90 days after termination, after which it is permanently deleted unless legally required to retain.
  • Third-party sharing: We do not sell or share your business data with third parties except as required by law or with your explicit consent.

Intellectual Property

All intellectual property rights in and to Tirzok DMS, including but not limited to software code, user interface design, algorithms, trademarks, logos, and documentation, are owned exclusively by Tirzok Private Limited.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to use Tirzok DMS solely for your internal business operations during the active subscription period.

You retain full ownership of all data and content you upload or create within the platform. By using the service, you grant Tirzok a limited license to process this data solely for the purpose of delivering the service to you.

The name "Tirzok", "Tirzok DMS", "Tirzok ERP", and associated logos are registered trademarks of Tirzok Private Limited. Unauthorized use is strictly prohibited.

Service Availability

Tirzok DMS is provided on an "as available" basis. We strive to maintain high availability but do not guarantee uninterrupted service. The following terms apply:

  • Planned maintenance: We will notify users at least 24 hours in advance of scheduled maintenance windows that may affect service availability.
  • Unplanned downtime: In the event of unexpected outages, we will communicate status updates through our official channels and work to restore service as quickly as possible.
  • SLA: Enterprise plan customers are entitled to a Service Level Agreement (SLA) with defined uptime guarantees as specified in their enterprise contract.
  • Force majeure: We are not liable for service interruptions caused by circumstances beyond our reasonable control, including natural disasters, internet outages, or government actions.

Limitation of Liability

To the maximum extent permitted by applicable law in Bangladesh:

  • Tirzok Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
  • Our total cumulative liability to you for any claims arising from these Terms or the use of our service shall not exceed the total amount paid by you in the 3 months preceding the claim.
  • We are not responsible for any business decisions made based on data or reports generated by the platform.
  • We are not liable for losses arising from unauthorized access to your account due to your failure to maintain security.

Disclaimer: The service is provided "as is" without warranties of any kind, either express or implied, including fitness for a particular purpose or merchantability.

Termination

Either party may terminate the subscription under the following conditions:

  • By you: You may cancel your subscription at any time through your account settings or by contacting our support team. Cancellation takes effect at the end of the current billing period.
  • By Tirzok: We reserve the right to suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or fail to make required payments.
  • Upon termination: Your access to the platform will cease. Your data will be retained for 90 days after which it will be permanently deleted. You may request a data export during this period.
  • Effect of termination: Sections relating to intellectual property, limitation of liability, and governing law shall survive termination.

Modifications to Terms

Tirzok Private Limited reserves the right to modify these Terms at any time. We will notify registered users of material changes via:

  • Email notification to the registered account email address
  • In-app notification within Tirzok DMS
  • Posting on our official website at least 30 days before changes take effect

Your continued use of Tirzok DMS after the effective date of modified Terms constitutes your acceptance of the changes. If you do not agree with any modifications, you must discontinue use of the service before the changes take effect.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dhaka, Bangladesh.

Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days from the date of written notice of the dispute.
